License Agreement

1. Grant of license

Subject to your compliance with these terms and the Terms and Conditions, Nedsom Financial Services B.V. grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Software solely to access your own account and only as permitted by the Terms and Conditions. No ownership rights are transferred.

2. Ownership and intellectual property

The Software — including all code, interfaces, trademarks, logos, text, graphics, designs and other materials — is and remains the sole property of Nedsom Financial Services B.V. or its licensors. The Software is protected by copyright, trademark and other intellectual-property laws. All rights not expressly granted to you under this agreement are reserved.

3. Permitted use

You may use the Software:

• Only for your own personal account and lawful purposes.

• On devices that you own or legitimately control.

• In accordance with the current version of the Software distributed by us; you must not use modified, decompiled or reverse-engineered copies.

4. Restrictions

You may NOT:

• Copy, modify, create derivative works of, or redistribute the Software, in whole or in part.

• Decompile, disassemble or reverse-engineer the Software, except to the extent that applicable law expressly permits such activity notwithstanding this limitation.

• Resell, lease, sublicense, lend or otherwise transfer the Software to any third party.

• Use the Software to build a competing product or service, scrape data, or harvest information about other users.

• Use the Software for any public or commercial purpose without our express written permission.

• Remove or alter any proprietary notices or labels on the Software.

• Interfere with the security, integrity or performance of the Software, or attempt to gain unauthorised access to our systems.

5. Third-party components

The Software incorporates open-source and third-party components governed by their own licences. The applicable notices are available on request at support@ned-som.com and in the attribution screen inside the mobile app, where applicable. Nothing in this agreement limits your rights under any such open-source licence.

6. Updates and changes

We may release updates, patches and new versions of the Software from time to time. We may automatically install such updates where this is necessary for security, legal compliance or service continuity. We may also discontinue or modify features at any time.

7. Suspension or termination

This licence terminates automatically if you breach it. We may also suspend or terminate your licence at any time if you breach the Terms and Conditions, if required by law, or if we suspect fraud, money laundering, terrorist financing or other unlawful use. On termination, you must uninstall and stop using the Software.

8. No warranty

The Software is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. We do not warrant that the Software will be uninterrupted, error-free or free of harmful components. Nothing in this clause excludes or limits our liability for anything that cannot lawfully be excluded or limited (for example, liability for gross negligence, intentional misconduct, or death and personal injury).

9. Liability

To the maximum extent permitted by law, Nedsom Financial Services B.V. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or business interruption arising out of or related to your use of the Software. Our liability for direct damages is limited as set out in the Terms and Conditions.

10. Export, sanctions and compliance

You must not use the Software in breach of any applicable export-control, sanctions or anti-money-laundering laws. You confirm that you are not located in a sanctioned jurisdiction and are not a sanctioned person.

11. Governing law

This License Agreement is governed by Dutch law. Any disputes arising out of or relating to it are subject to the exclusive jurisdiction of the competent courts of Netherlands, without prejudice to any mandatory consumer-protection rules of your country of habitual residence.
